This Master Subscription & Usage Agreement (“Agreement”) governs your access to and use of the Compass platform. By executing an Order Form, clicking “I Agree,” or using Compass in any manner, you (the “Customer”) agree to be bound by this Agreement with Compass AI Technologies Pvt Ltd (“Company”, “Compass”, “We”, “Us”).

Welcome to Compass AI! These terms outline the rules for using our platform. By logging in or signing an order form, you are agreeing to these legally binding terms.
Definitions & Scope of Services
- Compass: The proprietary growth intelligence, analytics, compliance, and marketing operating system developed by the Company, including all modules, APIs, SDKs, and updates.
- Modules: Specific platform features you may subscribe to, including Brand & Market Intelligence, SEO/SEM Analytics, LLM Visibility & Discoverability, Google Business Profile (GBP) Management, and DPDP Compliance (CMP).
- Customer Data: All data, content, or credentials submitted or processed by you through Compass.
This document serves as a single Master Agreement. You only pay for and access the specific Modules selected in your Order Form. We are not obligated to make all Modules available to you automatically.
Grant of License & Restrictions
Plain English Summary
We are granting you a license to use our platform for your internal business needs. You cannot copy, resell, or try to reverse-engineer our software to build a competing product.
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable right to access and use Compass solely for your internal business purposes during your Subscription Term.
You shall not:
- Copy, modify, or create derivative works of Compass.
- Reverse engineer, decompile, or disassemble any part of the platform.
- Resell, sublicense, or provide Compass access to third parties.
- Use Compass to build a competing product.
- Circumvent usage limits or security controls.
Customer Obligations
As a user of Compass, you agree to:
- Provide accurate, lawful data and credentials.
- Obtain all necessary consents from data principals before processing data.
- Ensure lawful use of Compass outputs.
- Maintain the confidentiality of your login credentials.
- Comply with all applicable laws, including the DPDP Act (India), IT Act, and sectoral regulations.
Data Ownership & Intellectual Property
Plain English Summary
You own your data. We own our software, algorithms, and the AI models we built. We can use anonymized data to improve our systems.
Customer Data: You retain all rights to your Customer Data.
Platform IP: The Company retains all intellectual property rights in Compass, including algorithms, models, dashboards, prompts, schemas, scoring frameworks, and visualizations.
Derived Data: We may use anonymized, aggregated, and non-identifiable data derived from platform usage to improve Compass, benchmarks, and models.
Data Protection, Privacy & AI Processing
Plain English Summary
We act as a Data Processor for your data. When we use third-party AI (like OpenAI) to give you insights, your data is NOT used to train their public models.
DPDP Compliance: You act as the Data Fiduciary (or Data Processor where applicable). We act as the Data Processor. We will implement reasonable security safeguards and process Personal Data only on your documented instructions.
AI & Third-Party Models: To generate insights, recommendations, and summaries, Compass may process your data using third-party artificial intelligence and large language model providers (e.g., OpenAI). We ensure these providers do NOT use your data for training or improving their models. Data is shared strictly on an inference-only basis.
You warrant that you have obtained all necessary rights and consents to permit such processing.
Third-Party Integrations
Compass may integrate with third-party platforms (e.g., Google, Meta). We are not responsible for API downtime, limitations, pricing changes, or data accuracy originating from these third-party sources. Your use of third-party services is governed by their respective terms and conditions.
Fees, Billing & Service Availability
Plain English Summary
Fees are non-refundable and exclude taxes. We aim for 99.5% uptime, but occasional maintenance might cause temporary downtime.
Fees: Fees are specified in your Order Form. They are exclusive of GST/applicable taxes and are non-refundable unless expressly stated. Late payments may result in suspension of access.
Availability: We target 99.5% monthly availability. Service level commitments or support obligations are only applicable if specified in your Order Form. Compass is provided on a commercially reasonable efforts basis.
Fair Use: Excessive or abusive usage (API calls, location tracking, etc.) may result in throttling or a requirement to upgrade your plan.
Warranties, Disclaimers & Limitations of Liability
Compass is a decision-support platform. Outputs are indicative, probabilistic, and dependent on third-party data. Compass is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all implied warranties of accuracy or fitness for a particular purpose.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of profits). Our aggregate liability shall not exceed the total fees paid by you in the six (6) months preceding the claim.
Term, Termination & Suspension
Plain English Summary
Either party can terminate this agreement for convenience with 30 days’ notice, or immediately if rules are broken. If suspended or terminated, you have 30 days to export your data.
Termination: Either party may terminate for convenience with thirty (30) days’ written notice (prepaid fees remain non-refundable). Termination for cause is permitted if a material breach is not cured within 30 days.
Effect: Upon termination, access ceases. You may export Customer Data within 30 days, after which we may securely delete it.
Suspension: We may suspend access immediately due to security risks, legal requirements, or payment defaults.
Governing Law & Dispute Resolution
This Agreement is governed by the laws of India. Any dispute shall be resolved by arbitration seated in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996. The courts at Bengaluru shall have exclusive jurisdiction.
Module-Specific Terms (Annexure A)
The following terms apply only if you have subscribed to the respective Module in your Order Form.
Module 01
DPDP Compliance & Consent Management (CMP)
Compass enables the collection and storage of consent artefacts. We are not a statutory consent registry. Lawful operation depends on your correct configuration and consent language. We do not guarantee regulatory sufficiency or legal approval. You remain fully responsible for handling Data Subject Access Requests (DSARs) and grievances.
Module 02
LLM Visibility & Discoverability
Analyzes LLM outputs (e.g., ChatGPT, Gemini, Claude). Because AI outputs are probabilistic, we do not guarantee accuracy, ranking position, or repeatability. You cannot use these outputs to represent findings as factual rankings, make regulatory claims, or train competing AI models.
Module 03
Market Intelligence, Keyword Insights & Forecasting
Forecasts and geo/pincode intelligence are forward-looking modeled estimates intended for planning, not exact measurements. You agree not to rely on these outputs as the sole basis for commercial or financial decisions. We do not guarantee traffic, conversions, or revenue.
Module 04
Google Business Profile (GBP) Management
Provides analytics and health scoring based on Google APIs. Local rankings and map pack positions are determined exclusively by Google’s algorithms. We are not responsible for listing suspensions, penalties, or policy enforcement actions imposed by Google.
